Contract for Services Between Users and Healtheon

 

This User Agreement (“Agreement”) is entered into between Healtheon.ca (“Healtheon,” “we,” “our,” or “us”) and the individual purchasing services (“User,” “you,” or “your”) through the Healtheon platform.

 

INTRODUCTION

Healtheon.ca owns and operates the Healtheon Platform (the “Platform”) which is a comprehensive virtual health ecosystem designed specifically for residents of towns and rural communities who face limited access to essential health care and wellness services. The Healtheon Platform bridges critical healthcare gaps by providing a gateway to affordable, accessible virtual health care and wellness services delivered by qualified providers.

 

SERVICES

2.1 Platform Access

Once you are a member , you receive log in password protected access to Healtheon’s digital platform, where you can discover, explore, and access a wide range of health and wellness services, including:

      • Medical Services (Primary Care, Health Coaching, Complexity Care Management, Chronic Disease Management)
      • Mental Health Services
      • Family Support Services
      • Wellness Services
2.2 Service Providers

All services are delivered by qualified health care and wellness service providers engaged by Healtheon. The Healtheon Platform acts as a gateway and connection between you and these service providers.

 

MEMBERSHIP PAYMENT

3.1 Membership Term

Your membership will automatically renew (as long as monthly membership payments are made) every three (3) months until terminated according to this Agreement.

3.2 Payment

You must provide a current, valid, accepted method of payment (“Payment Method”). Membership fees are charged to your Payment Method on the payment date indicated on the Account page.

3.3 Fees and Charges

The base membership fee is $7.95 per person per /month, billed quarterly. Additional health care and wellness services available on the Healtheon Platform may incur separate charges, which will be indicated before purchase.

3.4 No Refunds

Payments once made are nonrefundable and there are no credits for partially used membership periods.

3.5 Price Changes

We may adjust our membership fees with 30 days’ notice to you. You may cancel your membership before the change takes effect if you do not wish to accept the price change.

 

USER RESPONSIBILITIES

4.1 Account Security

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

4.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.3 Proper Use

You agree to use the Healtheon Platform and services in accordance with applicable laws and regulations. Further, You may not:

          • Circumvent, remove, alter, or thwart any Platform protections
          • Insert any code or manipulate content
          • Use data mining or extraction methods
          • Upload viruses or other malicious code

PRIVACY AND HEALTH INFORMATION

5.1 Personal Information

We collect and use your personal information as described in our Privacy Policy. By using our services, you consent to such collection and use in accordance with our Privacy Policy.

5.2 Health Information

You acknowledge that health information shared with service providers through our platform is subject to applicable healthcare privacy laws and regulations.

DISCLAIMERS AND LIMITATIONS

6.1 Service Availability

Some features of the Platform may be unavailable during maintenance or for other reasons beyond our control.

6.2 No Medical Advice

Healtheon Platform is a gateway only and does not provide or endorse any specific medical, health or wellness advice, diagnosis, or treatment or provider. All health care and wellness services are provided by third party healthcare professionals you select and interact with through the Platform.

6.3 Disclaimer of Warranties

THE PLATFORM SERVICE AND ALL SOFTWARE, APPLICATIONS, DATA, FUNCTIONALITY, AND CONTENT ASSOCIATED THEREWITH ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

6.4 Limitation of Liability

IN NO EVENT SHALL HEALTHEON OR ANY SERVICE PROVIDERS BE LIABLE FOR PERSONAL INJURY OR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND IN RELATION TO OR CONNECTED WITH YOUR USE OF THE PLATFORM. HEALTHEON’S TOTAL LIABILITY ARISING OUT OF OR CONNECTED WITH YOUR USE OF THE PLATFORM WILL BE LIMITED TO MEMBERSHIP FEES PAID BY YOU. THE RELATIONSHIP BETWEEN YOU AND ANY SERVICE PROVIDER ESTABLISHED THROUGH THE HEALTHEON PLATFORM IS SOLELY BETWEEN YOU AND THE SERVICE PROVIDER.

TERM AND TERMINATION

7.1 Term

This Agreement shall remain in effect until terminated by either party in accordance with the terms of this Agreement.

7.2 Cancellation

You can cancel your membership on the Healtheon Platform. Your account will automatically close at the end of your then-current billing period.

7.3 Termination by Healtheon

We may terminate or restrict your use of the Platform and access to the services on the Platform if you violate these Terms or are engaged in illegal or fraudulent use of the Platform.

 

GENERAL PROVISIONS

8.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the province of Ontario, Canada, without regard to conflict of laws provisions.

8.2 Changes to Agreement

We may change the terms of use including this Agreement from time to time by posting such changes on the Platform. Such revisions shall be effective when posted for individuals who have not yet become members. For existing members, revisions shall be effective 30 days after posting unless otherwise stated.

8.3 Communication

We will send you information relating to your account in electronic form only. You agree that any notices or communications we send electronically will satisfy any legal communication requirements.
